Terms of Service
Please read these terms carefully before using our services. By using Virmondo EOR, you agree to be bound by these terms.

1.Definitions
In these Terms of Service:
- "Virmondo EOR," "we," "us," or "our" refers to Virmondo GmbH, trading as Virmondo EOR.
- "Client" or "you" refers to the company or individual engaging our services.
- "Employee" refers to any individual employed through our EOR services on behalf of the Client.
- "EOR Services" refers to our Employer of Record services, including employment, payroll, and compliance management.
- "Recruiting Services" refers to our talent acquisition services in the DACH region.
- "DACH Region" refers to Germany, Austria, and Switzerland.
2.Our Services
Virmondo EOR provides the following services:
2.1 Recruiting Services
We help you find, vet, and hire qualified talent in the DACH region. Our recruiting process includes candidate sourcing, screening, interview coordination, and offer management.
2.2 Employer of Record (EOR) Services
We serve as the legal employer of your workforce in the DACH region, handling:
- Employment contracts compliant with local law
- Payroll processing and tax withholding
- Social security contributions
- Benefits administration
- HR compliance and documentation
- Employee onboarding and offboarding
3.Eligibility
To use our services, you must:
- Be a legally registered business entity or authorized representative thereof
- Have the authority to enter into binding agreements on behalf of your organization
- Provide accurate and complete information during registration and throughout our business relationship
- Comply with all applicable laws and regulations in your jurisdiction
4.Client Obligations
As our client, you agree to:
- Provide accurate information: Supply complete and truthful information about your company and the roles you wish to fill.
- Timely communication: Respond promptly to requests for information, approvals, and documentation.
- Payment obligations: Pay all fees and invoices according to the agreed payment terms.
- Compliance: Ensure that your use of our services and your relationship with Employees complies with applicable laws.
- Non-circumvention: During and for 12 months after our engagement, you will not directly employ or engage candidates we have introduced without using our EOR services.
- Workplace safety: Provide a safe and compliant work environment for Employees, whether remote or on-site.
5.Pricing and Payment
5.1 Fee Structure
Our standard fees are:
- Recruiting Fee: €1,000 one-time fee per successful hire
- EOR Fee: €599 per employee per month
Custom pricing may apply for enterprise clients or specific requirements. All fees are exclusive of applicable taxes unless otherwise stated.
5.2 Payment Terms
- Recruiting fees are due upon successful placement of a candidate.
- EOR fees are invoiced monthly in advance and due within 14 days of invoice date.
- Late payments may incur interest at 5% above the European Central Bank base rate.
- We reserve the right to suspend services for accounts more than 30 days overdue.
5.3 Employee Costs
In addition to our fees, you are responsible for all employee-related costs, including:
- Gross salary and any agreed bonuses
- Employer social security contributions
- Mandatory benefits and insurance
- Any additional benefits agreed with the Employee
6.Intellectual Property
6.1 Our Property
All content, materials, and intellectual property on the Virmondo EOR website and in our service delivery remain our exclusive property or that of our licensors.
6.2 Work Product
Work product created by Employees in the course of their employment belongs to you, the Client, subject to any intellectual property assignment provisions in the employment contract.
7.Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during our business relationship. This includes:
- Business strategies and plans
- Financial information and pricing
- Employee personal data
- Technical specifications and trade secrets
- Any information marked as confidential
This obligation survives termination of our agreement for a period of three years.
8.Limitation of Liability
8.1 Limitation
To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you in the twelve months preceding the claim.
8.2 Exclusions
We shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Lost profits, data, or business opportunities
- Damages arising from your breach of these terms or applicable law
- Employee performance, conduct, or actions outside our reasonable control
- Force majeure events including natural disasters, war, pandemic, or government actions
8.3 No Exclusion of Mandatory Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
9.Indemnification
You agree to indemnify and hold harmless Virmondo EOR, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms of Service
- Your violation of any applicable law or regulation
- Your instructions to us regarding Employee management that result in legal claims
- Any dispute between you and an Employee regarding matters outside our EOR responsibilities
10.Termination
10.1 Termination by Either Party
Either party may terminate the service agreement with 30 days written notice.
10.2 Termination for Cause
We may terminate immediately if you materially breach these terms, fail to pay invoices, or engage in conduct that could harm our reputation or legal standing.
10.3 Effect of Termination
Upon termination:
- All outstanding fees become immediately due and payable.
- We will work with you to transition Employees to your own entity or another provider, subject to applicable notice periods and employment law requirements.
- Confidentiality and limitation of liability provisions survive termination.
11.Governing Law
These Terms of Service are governed by the laws of the Federal Republic of Germany, excluding its conflict of laws provisions.
Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Munich, Germany.
For Clients based in the European Union, nothing in these terms affects your statutory rights under applicable consumer protection laws.
12.Changes to Terms
We may modify these Terms of Service at any time. We will notify you of material changes by email or through our website at least 30 days before they take effect. Your continued use of our services after the effective date constitutes acceptance of the modified terms.
